LICENSE TO USE

This agreement is between "You", our customer, and LEGAL SOFTWARE SYSTEMS CORPORATION (dba Legal Copilot Systems, Inc. and using the trademark Personal Injury Copilot), the licensor of its patented technology, subsidiaries, partners, affiliates, directors, officers, employees, agent and suppliers (all collectively referred to as "COPILOT" or "We" or "Us" or "Our".) We are providing services to you subject to the following terms and conditions. The terms and conditions may be modified from time to time by posting notification of such changes on the COPILOT site. By logging on to the site and clicking the "I Accept" button, you are indicating your agreement to be bound by the terms and conditions that are effective when you log on.

If you do not agree with any of our terms and conditions, please do not use the site. In addition, when you use any current or future COPILOT service or visit or purchase from any business affiliated with COPILOT, whether or not included in the COPILOT site, you also will be subject to the terms and conditions applicable to such service or business.

PAYMENT

You agree to pay all charges at the prices as set forth in our price schedule. We reserve the right to modify prices and terms from time to time. Payment to COPILOT will be made monthly by pre-authorized charge to your credit card or by electronic fund transfer from your bank account, or such other payment method as COPILOT may from time to time accept. You may cancel your authorization at any time. You agree to pay all amounts due to us upon demand, together with any late charges, dishonored payment charges, reinstatement fees, or any other applicable charges that you may owe us.

SUSPENSION OR TERMINATION OF ACCOUNT

We reserve the right to suspend or terminate your account without notice upon failure to receive timely payment, or if any payment received is later reversed and we believe you are liable for the payment. Such rights are in addition to and not in lieu of any other legal rights or remedies available to us.

PRIVACY

Please review our Privacy Notice. The terms of the Privacy Notice are incorporated herein by reference. All information that you provide to COPILOT to set up your account payment plan will be disclosed to our financial clearing house for their use in processing your payment with the credit card company or other financial institution which you have provided to us.

INDEMNITY

You agree to indemnify, defend and hold us harmless from any claim, loss, liability, expense or demand, including reasonable costs and attorneys' fees, made by any third party due to or arising out of your use or misuse of our services, your violation of our terms and conditions, or your violation of any law or the rights of a third party.

COPYRIGHT

All content included on the site, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of COPILOT or its suppliers and protected by United States and international copyright laws. The content may not be used in any manner without specific written permission.

TRADEMARKS

COPILOT and our logos, names, and service marks are our trademarks and/or belong to third parties who have authorized their use. COPILOT's trademarks, logos, names or service marks may not be used in connection with any product or service that is not COPILOT's nor in any manner that is likely to cause confusion or that disparages or discredits COPILOT in any way. All other trademarks not owned by COPILOT or its subsidiaries that appear on this site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by COPILOT or its subsidiaries.

LICENSE AND SITE ACCESS

We grant you a limited license to access and make personal use of our services and not to download (other than page caching) or modify it, or any portion of it, except with express written consent of COPILOT. This license does not include any resale or commercial use of this site or its contents; any derivative use of this site or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools. This site or any portion of this site may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of COPILOT. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of COPILOT and our affiliates without express written consent. You may not use any HTML Meta tags or any other "hidden text" utilizing COPILOT's name or trademarks without the express written consent of COPILOT. Any unauthorized use will result in the immediate suspension or termination of your license. You are granted a limited, revocable, and nonexclusive right to create a hyperlink to the home page of COPILOT so long as the link does not portray COPILOT, its affiliates, or their products or services in a false, misleading, derogatory, or otherwise offensive matter. You may not use any COPILOT logo or other proprietary graphic or trademark as part of the link without express written permission. You agree that you will not use this site for unlawful purpose or for any purpose that is prohibited by our terms and conditions of use.

YOUR ACCOUNT

If you use our site, you are responsible for maintaining the confidentiality of your account and password, for restricting access to your computer and to accept responsibility for all activities that occur under your account or password. You also agree to provide accurate and truthful information about yourself as requested while using the services provided by the site. In the event you provide false or misleading information, we reserve the right to suspend or terminate your license.

MODIFICATIONS OF SITE

COPILOT reserves the right at any time to modify the site, or any part thereof, with or without notice to you. You agree that COPILOT shall not be liable to you or to any third party for any modification.

REVIEWS, COMMENTS, COMMUNICATIONS, AND OTHER CONTENT

You may submit documents, reviews, comments, other content; and submit suggestions, ideas, comments, questions, or other information, so long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam." You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of content. COPILOT reserves the right (but not the obligation) to remove or edit such content. You represent and warrant that you own or otherwise control all of the rights to the content and documentation that you post; that the content is accurate; that use of the content you supply does not violate this policy and will not cause injury to any person or entity; and that you will indemnify COPILOT or its affiliates for all claims resulting from content you supply. COPILOT has the right but not the obligation to monitor and edit or remove any activity or content. COPILOT takes no responsibility and assumes no liability for any content posted by you or any third party.

PRODUCT DESCRIPTIONS

COPILOT and its affiliates attempt to be as accurate as possible. However, COPILOT does not warrant that service descriptions or other content of this site is accurate, complete, reliable, current, or error-free. If a service offered by any COPILOT affiliate is not as described, your sole remedy is to demand execution directly from the affiliate.

OTHER BUSINESSES/LINKS

Parties other than COPILOT and its subsidiaries may operate sites, provide services, or sell service lines on our site. In addition, we may provide links to sites of affiliated companies and certain other businesses. We are not responsible for examining or evaluating, and we do not warrant the offerings of, any of these businesses or individuals or the content of their Web sites. COPILOT does not assume any responsibility or liability for the actions, product, service, and content of all these and any other third parties. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY AND REMEDIES

This site is provided by COPILOT on an "as is" and "as available" basis. COPILOT makes no representations or warranties of any kind, express or implied, as to the operation of this site or the information, content, materials, or products included on this site. You expressly agree that your use of this site is at your sole risk. To the full extent permissible by applicable law, COPILOT disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. COPILOT does not warrant that this site, its servers, or communications sent from COPILOT are free of viruses or other harmful components. COPILOT will not be liable for any damages of any kind arising from the use of this site, including, but not limited to direct, indirect, incidental, punitive, and consequential damages. You agree that in any event, your sole remedy is a refund to you in the amount of the sums paid to COPILOT by you for the last two billing periods. Certain state laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers, exclusions, or limitations may not apply to you, and you might have additional rights.

APPLICABLE LAW

You agree that the laws of the State of Indiana , or California , at our sole discretion, without regard to principles of conflict of laws, will govern in any dispute between you and us.

DISPUTES

Any dispute shall be submitted to confidential mediation in a location of our choice, except that, to the extent you have in any manner violated or threatened to violate COPILOT's intellectual property rights, COPILOT may seek injunctive or other appropriate relief in any state or federal court, and you consent to exclusive jurisdiction and venue in such courts. The parties agree to mediate in good faith. If, after 30 days, the dispute is not resolved through mediation, either party is free to litigate or seek alternative dispute resolution in a jurisdiction selected by us in accordance with this agreement.

SITE POLICIES, MODIFICATION, AND SEVERABILITY

Please review our other policies posted on our site. These policies also govern your visit to our site. If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.
